By clicking I accept or I agree or using the Services, you are entering into this Terms of Service and End User License Agreement, which is a binding contract with ReadyMe.
01 Your license to use the Services
By registering for or using ReadyMe's Services, you are entering into this Terms of Service and End User License Agreement with ReadyMe. You may access and use our Services only if you agree to these Terms. If you are accepting these Terms on behalf of your employer or another entity, you represent and warrant that you have full legal authority to bind that entity to these Terms.
License Grant. Subject to your compliance with these Terms, ReadyMe grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your personal, non-commercial educational purposes. This license does not include the right to sublicense, sell, resell, transfer, assign, distribute, or otherwise commercially exploit or make available to any third party the Services or any Content.
License Restrictions. You may not: (a) modify or create derivative works of the Services or Content; (b) reverse engineer, decompile, or disassemble the Services; (c) copy, frame, or mirror any portion of the Services; (d) build a competing product or service using similar ideas, features, functions, or graphics; (e) use the Services for any purpose other than as expressly permitted by these Terms.
Intellectual Property. All rights, title, and interest in and to the Services, including all associated intellectual property rights, remain exclusively with ReadyMe and its licensors. These Terms do not grant you any rights to our trademarks, service marks, logos, domain names, or other proprietary materials.
02 What we mean by the "Services"
The term "Services" refers to all products, applications, platforms, and services developed, operated, and maintained by ReadyMe, including but not limited to our mobile applications, web applications, learning management tools, content creation platform, and any associated APIs or integrations.
Platform Components. The Services include: (a) the ReadyMe learner platform for accessing structured learning paths; (b) the EduCreator authoring platform for creating and publishing learning content; (c) any analytics dashboards, progress tracking tools, and assessment features; (d) all associated APIs, webhooks, or developer tools made available by ReadyMe.
Third-Party Services. The Services may integrate with or depend upon third-party products and services. These integrations are provided for your convenience, and ReadyMe is not responsible for the terms, privacy practices, or availability of those third-party services. Your use of third-party services is subject to those third parties' own terms and conditions.
Updates and Changes. ReadyMe reserves the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We will make reasonable efforts to notify users of significant changes. Your continued use of the Services after changes constitutes acceptance of the updated Terms.
03 Who is authorized to use the Services?
The Services are available only to individuals who are at least 13 years of age. If you are under 18, you must have parental or guardian consent to use the Services. By using the Services, you represent and warrant that you meet these age requirements.
Account Credentials. You agree to: (a) provide accurate and complete registration information; (b) promptly update your information to keep it accurate; (c) maintain the confidentiality of your password and account credentials; (d) accept full responsibility for all activities that occur under your account.
One Account Per User. You may register for only one account per person. Creating multiple accounts to circumvent limitations, suspensions, or bans is strictly prohibited. ReadyMe reserves the right to terminate duplicate accounts without notice.
Prohibited Users. You may not use the Services if: (a) you are barred from receiving services under applicable law; (b) your account has been previously suspended or terminated by ReadyMe; (c) you are located in a country subject to applicable trade sanctions or embargoes.
Parental Consent. If you are a parent or guardian allowing a minor to use the Services, you agree to these Terms on behalf of the minor and accept full responsibility for their use of the Services, including any purchases or subscriptions made.
04 Please keep your account credentials secret & safe
You are solely responsible for maintaining the confidentiality and security of your account credentials, including your username and password. ReadyMe cannot and will not be liable for any loss or damage arising from your failure to protect your account information.
Security Obligations. You agree to: (a) use a strong, unique password for your ReadyMe account; (b) not share your credentials with any third party; (c) log out of your account at the end of each session on shared devices; (d) immediately notify ReadyMe at hello@readyme.co if you suspect any unauthorized use of your account or any security breach.
Account Takeover. If you believe your account has been compromised, you must immediately change your password and contact ReadyMe support. ReadyMe will not be liable for any losses caused by unauthorized use of your account if you fail to notify us promptly after becoming aware of the unauthorized access.
Two-Factor Authentication. ReadyMe may offer optional two-factor authentication to enhance the security of your account. We strongly encourage you to enable this feature where available to protect your account from unauthorized access.
05 User suggestions will be owned by ReadyMe
ReadyMe welcomes feedback, ideas, suggestions, and other input regarding the Services ("Feedback"). By submitting Feedback to ReadyMe through any channel, including but not limited to email, in-app feedback tools, community forums, or social media, you grant ReadyMe a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use, reproduce, adapt, publish, translate, distribute, and create derivative works from such Feedback.
No Obligation. ReadyMe is under no obligation to: (a) maintain any Feedback in confidence; (b) pay compensation for any Feedback; (c) respond to any Feedback or implement any suggestions. You acknowledge that your Feedback may be used by ReadyMe in any way we see fit, including for commercial purposes.
Ownership. You agree that all Feedback you provide becomes the exclusive property of ReadyMe. You waive any moral rights or rights of attribution in connection with such Feedback. If any such rights cannot be waived under applicable law, you agree not to assert them against ReadyMe or its licensees.
06 How we'll use any content you upload
By uploading, posting, or otherwise transmitting any content through the Services, including learning materials, quiz questions, videos, documents, and course descriptions ("User Content"), you grant ReadyMe a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content solely for the purpose of operating, improving, and promoting the Services.
Your Responsibility. You represent and warrant that: (a) you own or have the necessary rights to your User Content; (b) your User Content does not infringe the intellectual property rights, privacy rights, or other rights of any third party; (c) your User Content complies with all applicable laws and these Terms.
Prohibited Content. You may not upload User Content that: (a) is illegal, harmful, threatening, abusive, defamatory, or obscene; (b) contains viruses or other malicious code; (c) violates any intellectual property rights; (d) constitutes unsolicited commercial communications (spam); (e) impersonates any person or entity; (f) contains personal information about others without their consent.
Content Moderation. ReadyMe reserves the right, but has no obligation, to review, screen, and remove any User Content that violates these Terms or that we deem inappropriate in our sole discretion. We may also suspend or terminate your account for violations.
EduCreator Content. If you are an EduCreator, you retain ownership of the learning content you create on the platform. However, you grant ReadyMe the licenses described above and agree that your content must comply with our Content Quality Guidelines, which we may update from time to time.
07 Availability of the Services
ReadyMe strives to maintain high availability of the Services but does not guarantee uninterrupted access. The Services may be temporarily unavailable due to scheduled maintenance, emergency maintenance, system upgrades, or circumstances beyond our reasonable control.
No Uptime Guarantee. ReadyMe does not provide any service level agreement (SLA) or uptime guarantee for the Services unless separately agreed in writing. We will make reasonable efforts to provide advance notice of planned maintenance windows.
Service Modifications. ReadyMe reserves the right to: (a) add, modify, or remove features of the Services at any time; (b) change pricing and subscription terms with reasonable advance notice; (c) discontinue the Services or any part thereof with reasonable prior notice to users; (d) limit the availability of the Services to any person, geographic area, or jurisdiction.
Force Majeure. ReadyMe shall not be liable for any delays or failures in performance resulting from acts beyond our reasonable control, including but not limited to acts of God, internet outages, cyber attacks, labor disputes, government actions, or pandemic conditions.
08 You are accountable for any damage you inflict on ReadyMe
You agree to indemnify, defend, and hold harmless ReadyMe, its officers, directors, employees, agents, affiliates, and service providers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Services; (b) your User Content; (c) your violation of these Terms; (d) your violation of any applicable laws or regulations; (e) your infringement of any third party's intellectual property or other rights.
Limitation of Liability. To the maximum extent permitted by applicable law, ReadyMe shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, even if ReadyMe has been advised of the possibility of such damages.
Aggregate Cap. To the extent permitted by law, ReadyMe's total aggregate liability to you for any claims arising from or related to these Terms or the Services shall not exceed the greater of: (a) the total fees paid by you to ReadyMe in the twelve months preceding the claim; or (b) USD 100.
Essential Basis. You acknowledge that these limitations of liability are an essential element of the agreement between you and ReadyMe, and that ReadyMe would not have entered into this agreement without these limitations.
09 Billing and cancellation
Subscription Plans. ReadyMe offers various subscription plans for learners and EduCreators. Subscriptions are billed on a recurring basis (monthly or annual) at the rates set forth on the pricing page, which may be updated from time to time with reasonable notice.
Payment Methods. You must provide a valid payment method to access paid Services. By providing payment information, you authorize ReadyMe to charge the applicable fees to your payment method. All fees are exclusive of applicable taxes, which you are responsible for paying.
Automatic Renewal. Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. ReadyMe will provide advance notice of upcoming renewals for annual subscriptions.
Cancellation. You may cancel your subscription at any time through your account settings or by contacting support at hello@readyme.co. Cancellation takes effect at the end of the current billing period. No refunds are provided for the unused portion of a subscription period unless required by applicable law.
Refunds. ReadyMe does not provide refunds for subscription fees except where required by applicable consumer protection laws. If you believe you are entitled to a refund, please contact our support team with your request and relevant details.
Price Changes. ReadyMe may change subscription prices with at least 30 days' notice. Continued use of the Services after a price change takes effect constitutes your acceptance of the new pricing. If you do not agree to a price change, you may cancel your subscription before it takes effect.
10 Terminating your Subscription & access to the Services
Termination by You. You may terminate your account and subscription at any time by: (a) cancelling your subscription through account settings; (b) deleting your account through the account management page; or (c) contacting ReadyMe support at hello@readyme.co. Upon termination, your right to use the Services will immediately cease.
Termination by ReadyMe. ReadyMe reserves the right to suspend or terminate your account and access to the Services at any time, with or without cause, with or without notice, including but not limited to circumstances where: (a) you have violated these Terms; (b) we reasonably believe your use poses a risk to other users or the platform; (c) your account has been involved in fraudulent or illegal activity; (d) we are required to do so by applicable law or legal process.
Effect of Termination. Upon termination: (a) your license to use the Services immediately terminates; (b) you must cease all use of the Services; (c) ReadyMe may delete your account data in accordance with our Privacy Policy and applicable law; (d) any outstanding payment obligations survive termination.
Data Retention. Following account termination, ReadyMe may retain certain information as required by law, for legitimate business purposes, or as described in our Privacy Policy. ReadyMe is not obligated to retain or make available any User Content after termination.
Survival. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property ownership, indemnification, limitations of liability, and general provisions.
